Summary of Terms & Conditions

1. Definition

“Customer” means the individual or business named in the New Account Form

“Countrywide” means Countrywide LPG ltd, a company registered in England, No 4189174

“Key” means the Countrywide Autogas Key provided to the Customer

“LPG” means Liquefied Petroleum Gas

2. Price

The price of LPG supplied by Countrywide shall be the price ruling at the date of supply

3. Force Majeure

Countrywide shall not be responsible for any failure to fulfil its obligations under the Agreement to the extent to which fulfilment is prevented by war, riot, civil commotion, flood, fire, industrial action, requirements of any law, failure or breakdown of plant, machinery or transport, shortage of LPG, weather conditions or any other cause beyond the control of Countrywide

4. Key

4.1 The Key remains the property of Countrywide at all times

4.2 A refundable deposit of £10.00 + VAT per key is payable by the customer

4.3 In the event of a key being lost or stolen, the Customer will remain liable for any subsequent drawings made using that key until the loss of the key is notified to Countrywide

4.4 Replacement Keys will incur a charge of £10.00 plus VAT

4.5 Countrywide reserve the right to suspend the use of a Key in the following circumstances:

4.5.1 Where Countrywide believes that fraudulent use of the Key may be occurring

4.5.2 Where previous drawings have not been paid for and the Customer has been informed of the overdue account

4.5.3 Where Countrywide believes an act of insolvency on the part of the Customer is about to take place

5. Termination

5.1 This Agreement may be terminated by the Customer:

5.1.1 By giving written notice and returning all Keys

5.1.2 Failure to return Keys will incur a charge of £10.00 plus VAT

5.1.3 The Agreement will only be terminated once all drawings have been paid for

5.2 This Agreement may be terminated by Countrywide where it believes conduct of the account to be unreasonable, including (but not exclusively) fraudulent or inappropriate use of Key and non-payment of invoices

6. Late Payment

6.1 If a Direct Debit or Cheque is returned unpaid, Countrywide reserves the right to charge the Customer an administrative fee of £15 for each failed payment

6.2 Countrywide also reserves the right to charge statutory interest as laid out in Late Payment of Commercial Debts (Interest) Act 1988 on all overdue sums owed by the Customer

7. Assignment

7.1 This agreement cannot be assigned by the Customer to any third party without Countrywide’s prior consent

7.2 Countrywide may assign this agreement to any person, firm or company

8. Damage to Countrywide Property

In the event that the Customer damages Countrywide property, including (but not exclusively) the hose or pump, the Customer shall be liable for a repair fee of £75.00 + VAT

9. Data Protection

The Customer gives authority for Countrywide to apply to bankers, suppliers and credit agencies for credit references, and consents to the processing by Countrywide of any personal data provided, and agrees that Countrywide may use it in such a way as they believe appropriate to administer the Customer’s account. This may include exchange of information with credit agencies and others for purposes of opening and monitoring an account, responding to requests for references from third parties, and keeping the Customer informed of new products and services available from Countrywide

10. Direct Debit Guarantee

10.1 This Guarantee is offered by all Banks and Building Societies that take part in the Direct Debit Scheme.

10.2 The efficiency and security of the Scheme is monitored and protected by your own Bank or Building Society.

10.3 If the amounts to be paid or the payment dates change Countrywide Farmers Plc will notify you three working days in advance of your account being debited or as otherwise agreed.

10.4 If an error is made by Countrywide LPG ltd or your Bank or Building Society, you are guaranteed a full and immediate refund from your branch of the amount paid.

10.5 You can cancel a Direct Debit at any time by writing to your Bank or Building Society. Please also send a copy of your letter to us.

Definition

1. In these Conditions, when we say:

“Commencement Date” the date on which the Supply Agreement takes effect, as referred to in clause 4.6.

“Consumer” we mean a consumer as defined in the Consumer Rights Act 2015.

“Equipment” we mean our Tank (including any ancillary equipment, valves, pumps, regulators up to the emergency control valve and gauges from the Tank to the entry point of the Premises supplied with the Tank) to be leased to you.

“LPG” we mean liquefied petroleum gas, including liquefied petroleum gas used as fuel for appropriate vehicles and commonly referred to as “Autogas”.

“Plan” we mean the diagrammatic plan, which accompanies and forms part of the Supply Agreement, and which shows the position of the Equipment at the Premises.

“Premises” we mean the property at which the Equipment is located and at which the LPG will be supplied, as identified in the Supply Agreement.

“Supply Agreement” we mean the LPG Supply Agreement signed by you and us, and in relation to which these Conditions form part.

“Tank Sensor” we mean the telemetric equipment used with the LPG monitoring system.

“Tank” we mean a vessel located at the Premises which is used to contain LPG.

‘we’, ‘us’ or ‘our’ we mean Countrywide LPG ltd (company number 4189174), whose registered office is at Countrywide House, Asparagus Way, Vale Park, Evesham, Worcestershire, WR11 1GN.

‘you’ or ‘your’ we mean the person named in the Supply Agreement.

Lease Provisions

2. Domestic:

2.1 If you are a Consumer, the following clauses 2.1.1 to 2.1.4 will apply:

2.1.1 We will purchase the equipment installed by the previous supplier from that supplier in accordance with Domestic Liquefied Petroleum Gas Order 2008 or shall supply and install the Equipment, at the Supply Address stated in the Supply Agreement, in the position shown on the Plan. All pipework shall be or remain your property.

2.1.2 We will lease the Equipment to you in accordance with the Supply Agreement entered into between you and us on or about the date of the Supply Agreement.

2.1.3 You will pay us rental for the use of the Equipment at the rate and with the frequency stated in the Supply Agreement.

2.1.4 You are responsible for obtaining any necessary licences and permissions relating to the installation or relocation of the Equipment. You shall pay us the amount (if any) stated in the Supply Agreement, plus VAT (if applicable), for the installation or relocation of the Equipment. You will make any such payment by cheque, direct debit or debit/credit card.

2.1.5 In addition to clause 2.1.3, where your gas consumption during each calendar year (January to December) is beneath the lower of the estimated annual usage amount detailed in the Supply Agreement or 1000 litres (pro-rated for any part calendar year), we may alter the rental charge to offset any subsequent revenue loss through lower gas sales. The additional charge would be set at a level that is no greater than the equivalent lost revenue. We will provide at least one months’ notice of any alteration in the rental charge.

Commercial:

2.2 If you are not a Consumer and you are purchasing LPG in connection with a business, the following clauses 2.2.1 to 2.3.1 will apply:

2.2.1 We will supply and install the Equipment at the Premises in the position shown on the Plan. We will lease the Equipment to you in accordance with this Agreement. All pipework shall be or remain your property. You shall be responsible for obtaining any necessary licences and permissions relating to the installation or relocation of the Equipment. You shall pay us the amount (if any) stated in the Supply Agreement, plus VAT (if applicable), for the installation or relocation of the Equipment.

2.2.2 You will pay us rental for the use of the Equipment at the rate and with the frequency stated in the Supply Agreement. We may alter the amount of the rental at any time or times by giving you not less than three months’ notice. If you have not given us written notice to cancel the Supply Agreement at least one month before expiry of the three month notice period then the Supply Agreement shall continue in force with the substitution of the new rental for the previous one.

2.2.3 You will pay us the rental for the use of the Equipment and any other charges under the Supply Agreement by cheque, direct debit or debit/credit card, as described in the Supply Agreement.

2.2.4 In addition to clause 2.2.2, where your gas consumption during each calendar year (January to December) is beneath the lower of the estimated annual usage amount detailed in the Supply Agreement or 2500 litres (pro-rated for any part calendar year), we may alter the rental charge to offset any subsequent revenue loss through lower gas sales or cancel the Supply Agreement. The additional charge would be set at a level that is no greater than the equivalent lost revenue.

Domestic and Commercial:

2.3 Whether or not you are a Consumer, the following clauses 2.3.2 to 2.3.3 (inclusive) will apply:

2.3.1 The amount of rental stated in the Supply Agreement is exclusive of VAT which, where applicable, shall be paid in addition at the current rate of VAT.

2.3.2 If you alter any buildings, boundaries, vegetation or if you contravene in any way the requirements of the correct siting of the Tank as detailed in the Plan and in the UK LPG Codes of Practice, you must, at your expense, alter the siting of the Tank to meet the requirements of the Plan and relevant UKLPG Code(s) of Practice. UKLPG is the trade association for LPG industry in the UK and whose website can be found at www.uklpg.org. If you have concerns that any proposed or actual alteration to any buildings, boundaries or vegetation may contravene the UKLPG Code(s) of Practice, please contact our Engineering Team via our Customer Services Team.

2.3.3 If we believe that the cost of installing or relocating Equipment at the Premises will exceed any estimate previously given by us, due to circumstances which were not reasonably foreseeable at the time we gave the estimate, we will tell you of the increased cost. We will use reasonable efforts to minimise any increase in the cost but you will be responsible for paying the increased amount, except that if you are a Consumer then you may inform us that you wish to cancel the Supply Agreement, in which case you will only be responsible for the installation or relocation costs which we have reasonably incurred up to the date on which you tell us that you wish to cancel the Supply Agreement.

2.3.4 You will:

(a) not allow the Equipment to be used for any other purpose other than the storage of LPG supplied by us;

(b) keep the Equipment clean, not alter or tamper with the Equipment, take all reasonable steps to avoid damage to the Equipment and immediately notify us of any damage to, or fault in, the Equipment;

(c) keep the Equipment fully insured against damage by fire, explosion and such other risks as we may reasonably require and you will spend the proceeds of such insurance in making good the damage or (at our option) pay the proceeds to us to enable us to make good the damage;

(d) not, without our prior consent, add pumping equipment to the Equipment to allow the LPG to be used as fuel for vehicles; and

(e) allow us access to the Equipment at all reasonable times to inspect, maintain, repair or remove the Equipment and to take LPG samples. You will allow us access to the Equipment at any time where there is an emergency in relation to the Equipment.

LPG Sale and Purchase Provisions

3. LPG Sale and Purchase Provisions

3.1 Subject to clause 3.2, during the term of the Supply Agreement you will purchase from us, and we will supply, your total requirement for LPG at the Premises, where such LPG is to be used via our Equipment.

3.2 If we are unable to supply LPG in accordance with clause 3.1, then so long as the inability continues, you may purchase LPG from another supplier and you may use the Equipment for the storage of such LPG only until we are able to resume supply of LPG to you.

3.3 The price of LPG supplied by us shall be our price which is applicable at the date of order. That price will be determined by a number of factors, including market forces and world prices. Prices can fluctuate up and down.

3.4 We will invoice you for the LPG promptly after each delivery. You will pay each invoice in accordance with the payment terms set out in the Supply Agreement.

3.5 Any sums owed by you to us which are overdue shall carry interest from the due date to the date of payment at 4% above the base rate of HSBC Bank plc.

3.6 You must not use the LPG we supply as fuel for vehicles without our prior permission and without paying any necessary taxes and duties associated with the use of LPG as vehicle fuel.

General Provisions

4. General Provisions

4.1 To the fullest extent permitted by law, we will have no liability under the Supply Agreement for any: loss which is not foreseeable (that is if it was not an obvious consequence of our breach or if it was not contemplated by both parties at the time of entering into the Supply Agreement), loss of profit, revenue, sales or income, loss of business, goodwill, management time, loss or corruption to business data or loss of business opportunity.

4.2 We do not in any way exclude or limit our liability for:

4.2.1 death or personal injury caused by our negligence;

4.2.2 fraud or fraudulent misrepresentation; or

4.2.3 where you are dealing as a Consumer:

(a) any breach of the terms implied by section 17 of the Consumer Rights Act 2015 (right to supply goods and quiet possession); and

(b) any breach of the terms implied by sections 9 to 15 of the Consumer Rights Act 2015 (satisfactory quality, fitness for purpose, description, pre-contract information, samples/models, installation of goods).

4.3 Unless you are a Consumer or unless expressly set out otherwise in the Supply Agreement, all other terms, warranties, representations and conditions implied by statute, common law or otherwise (including fitness for purpose) are excluded to the fullest extent permitted by law.

4.4 We will not be responsible for any failure or delay in performing any of our obligations under the Supply Agreement if that is caused by an event outside our reasonable control. We will inform you if we are affected by such an event.

4.5 Subject to clause 4.2 and unless you are a Consumer, our total liability to you under or connected with the Supply Agreement in any calendar year will not exceed the total value (excluding VAT) we invoice to you under the Supply Agreement in each calendar year (1 January to 31 December).

4.6 The Commencement Date of the Supply Agreement is:

4.6.1 if you are switching to us from another LPG supplier, the date of transfer of ownership of the existing Tank from the out-going supplier to us;

4.6.2 if you are an existing customer of ours and you are entering into a new Supply Agreement, the date on which that Supply Agreement is signed by both parties; or

4.6.3 if a new Tank is to be installed, the date on which the Supply Agreement is signed by both parties but if any contract period is stated in the Supply Agreement, that period will not begin until the date after installation on which the new Tank first receives a new quantity of LPG.

4.7 The Supply Agreement shall take effect from the Commencement Date and will remain in force for the term stated in the Supply Agreement and will continue until it is ended by:

4.7.1 where you are a Consumer, either party giving to the other at least 42 days’ notice of cancellation in writing;

4.7.2 where you are not a Consumer, either party giving to the other at least 90 days’ notice of cancellation in writing;

4.7.3 either party giving written notice to the other if the other has committed persistent breaches or a serious breach of the Supply Agreement and, where such breach(es) are capable of remedy, the other party has failed to remedy it/them within 28 days of being required in writing to do so by the first party;

4.7.4 either party giving written notice to the other if you stop owning or occupying the Premises;

4.7.5 either party giving written notice to the other if the other becomes unable to pay its debts when they fall due or proceedings are or are reasonably likely to be commenced by or against the other alleging bankruptcy or insolvency or an administrator, receiver or administrative receiver is appointed or is reasonably likely to be appointed over all or part of the other or its assets; or

4.7.6 us giving written notice to you if (as reasonably determined by us) our right as owner of the Equipment is infringed or threatened.

4.8 If you are a Consumer, in addition to your rights of cancellation in clause 4.7, you may give us written notice to cancel the Supply Agreement before the Commencement Date or within 14 days starting on the date on which the Supply Agreement is signed by both parties (the “Cancellation Period”). You may, but do not have to, use the cancellation form at the end of this Agreement when providing us with your written notice of cancellation.

4.9 If you cancel the Supply Agreement within the Cancellation Period, we will repay to you all payments received from you, subject to the costs referred to in clause 4.12 which we may continue to charge for.

4.10 We will make the repayment promptly and not later than 14 days after the day on which you notified us of the cancellation. Where we make a repayment, we will use the same payment method used by you to pay us (unless you agree otherwise). You will not incur any fees as a result of the repayment. If we have the right to charge you for any costs under clause 4.12, we may deduct the relevant amount from the repayment we make to you or ask you to pay that amount to us.

4.11 We will not start any services relating to the Equipment (including, without limitation, any site visit or survey, inspection, installation, relocation, upgrading or removal) (the “Services”) during the Cancellation Period unless you expressly ask us to. You can ask us by phone or in writing (see the Supply Agreement for our contact details) and we will give you written confirmation of any such request and we will explain the costs that you might incur.

4.12 If you ask us to start Services during the Cancellation Period and you then decide to cancel the Supply Agreement during the Cancellation Period, we may charge you for the Services provided up to the point of cancellation. We will charge you based on the prices set out in the Supply Agreement for the relevant part of the Services that we have performed but may include (without limitation) the following:

4.12.1 if we have carried out any survey, the cost of the survey(s);

4.12.2 if we have installed a Tank, the cost of the installation;

4.12.3 if we have removed any existing Tank or associated equipment, the cost of that removal; and

4.12.4 if we have supplied any LPG, the cost of that LPG.

4.13 If you are a Consumer and the Equipment is disconnected and collected for any reason other than transfer to a new LPG supplier, you will pay us a tank uplift charge of £200 plus VAT per Tank.

4.14 If you are not a Consumer, at the end of the Supply Agreement you will pay to us £200 plus VAT per Tank for the disconnection and collection of the Equipment. All monies which you owe to us must be paid before the end of the Supply Agreement.

4.15 We will not credit you for any LPG contained in the Tank at the time of collection because, for quality assurance reasons, we cannot resell it and we must dispose of it.

4.16 We may levy an administration charge on transfer of Equipment from another LPG supplier at the beginning of the Supply Agreement, as detailed in the Supply Agreement.

4.17 Formal notices should be sent to our registered office. If we need to send you a formal notice, this will be by email or post to your address in the Supply Agreement or such other address of which you have informed us.

Delivery

5. Delivery

5.1 Even if you receive automatically generated deliveries, you must monitor the contents of the Tank and you must advise us if the level of LPG falls below 40%. We will not be responsible if you fail to do this and you run out of LPG.

5.2 We will try to perform our obligations under the Supply Agreement in line with any timeframe provisionally agreed with you. If no timescale has been agreed, we will perform the obligations within a reasonable time.

5.3 Unless you are a Consumer, we will not be liable to you for loss or damage of any kind caused directly or indirectly by any delay in the delivery of LPG or performance of our obligations under the Supply Agreement. If you are a Consumer, we will not be responsible for any delay in delivery or in performing any of our obligations under the Supply Agreement if that is caused by an event outside our reasonable control.

5.4 You may check the quantity of LPG supplied on delivery and you must promptly tell us if you believe that the delivered quantity is incorrect. Unless you are a Consumer, we will not consider any claim for wrongful measurement of the quantity of LPG delivered, unless such complaint is made at the time of delivery or, in the case of a delivery when you are not present, within 48 hours of such a delivery. In the absence of obvious error, you shall accept our measurement of the quantity of LPG supplied.

5.5 Where you have opted to receive automatically generated deliveries, additional terms apply which will accompany and form part of the Supply Agreement.

5.6 You will allow us access to the Tank(s) at the Premises in order to perform deliveries of LPG and we may make such deliveries when you are not at the Premises.

6. Cancellation Form

6.1 Complete and return this form within 14 days of the date of agreement (only if you are a Consumer and wish to cancel this agreement).

    1. £20 or £50 will be applied to your LPG account as a credit when the qualifying criteria have been met.
    2. This offer may be claimed once per friend referred to Countrywide using the “Refer A Friend” form.
    3. Duplicate accounts are not permitted.
    4. If your order is subsequently cancelled (by your friend), or the quantity of cylinders is reduced below the number outlined in the qualifying criteria, the credit will become void.
    5. Countrywide reserves the right to withdraw the Offer at any time without notice.
    6. Geographical restrictions may apply.
    7. This Offer cannot be used in conjunction with any other Countrywide offer and no cash alternative is available.

Free Installation and Sensor T&Cs
